Terms of Service & Refund Policy

These terms govern all engagements between Thinkonic and its clients. Please read them carefully before using our services. If you have any questions, contact us at info@thinkonic.com.

Part A — Terms of Service

Acceptance of Terms

By engaging Thinkonic for any service — whether through our website, email, WhatsApp, or any other channel — you agree to be bound by these Terms of Service. These Terms apply to all clients, whether individuals or organisations, and constitute the entire agreement between you and Thinkonic for the services provided.

Thinkonic reserves the right to update these Terms at any time. Continued use of our services after any such update constitutes your acceptance of the revised Terms.

Services

Thinkonic provides business automation, systems integration, WhatsApp Business API setup, workflow design, and related digital services to businesses. The specific scope of services for each engagement is defined in a separate proposal, statement of work, or written agreement between Thinkonic and the client.

We reserve the right to decline or discontinue any engagement at our discretion, including where the scope of work falls outside our areas of service or where a client relationship is no longer viable.

Client Obligations

To deliver our services effectively, clients are expected to: (a) provide timely access to the systems, tools, and information required; (b) designate a point of contact responsible for approvals and feedback; (c) respond to requests for input, review, or sign-off within agreed timelines; and (d) ensure that all information shared with Thinkonic is accurate and up to date.

Delays caused by a client's failure to meet these obligations may affect delivery timelines and do not constitute a breach on Thinkonic's part.

Intellectual Property

All deliverables created by Thinkonic as part of a paid engagement — including workflows, automations, integrations, and documentation — become the property of the client upon full and final payment.

Thinkonic retains ownership of all underlying frameworks, methodologies, tools, and pre-existing intellectual property used in the delivery of services. Nothing in these Terms grants the client rights to Thinkonic's proprietary tools or processes beyond their use within the delivered solution.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement, including business processes, client data, pricing, and system configurations. This obligation survives the termination of any engagement.

Thinkonic will not share client information with third parties except where required to deliver the agreed services or where compelled by law.

Limitation of Liability

Thinkonic's liability for any claim arising from our services is limited to the amount paid by the client for the specific service or deliverable giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of business, revenue, or data.

We make reasonable efforts to ensure the accuracy and reliability of all deliverables, but do not guarantee specific business outcomes resulting from the use of our services.

Termination

Either party may terminate an engagement by providing written notice. Where work is in progress, the client is liable for payment for all work completed up to the date of termination.

Thinkonic may terminate an engagement immediately and without notice where a client engages in unlawful conduct, fails to make payment, or acts in a manner that makes continuation of the engagement impractical.

Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Nagpur, Maharashtra, India.

Part B — Refund Policy

Nature of Our Services

Thinkonic delivers custom services — automation design, systems integration, and digital operations setup — that involve significant time, skill, and resources. Because our work is tailored specifically to each client, refunds are governed by the stage of work completed rather than a blanket policy.

Deposits and Advance Payments

All projects require an advance payment before work begins. This deposit covers initial discovery, planning, and resource allocation and is non-refundable once work has commenced.

If Thinkonic is unable to begin work after receiving a deposit due to reasons on our end, the full deposit will be refunded.

Milestone-Based Engagements

For projects structured around milestones, payments made for a completed milestone are non-refundable. If a client chooses to cancel mid-engagement, they are liable for payment of all milestones fully or partially completed up to the cancellation date.

Thinkonic will provide a fair assessment of work completed at the time of cancellation, and any overpayment relative to work done will be refunded within 14 working days.

Retainer and Subscription Services

For ongoing retainer arrangements, the client may cancel with 30 days' written notice. Fees paid for the current billing period are non-refundable. No charges will be raised for periods after the notice period has elapsed.

Disputes and Revision Requests

If you are unsatisfied with a deliverable, we encourage you to raise the concern in writing before requesting a refund. Thinkonic will make reasonable efforts to revise or remedy the deliverable in line with the originally agreed scope.

Refund requests based solely on a change of business requirements, a decision not to proceed, or dissatisfaction with the nature of the service (rather than its quality) will not be entertained.

How to Request a Refund

To request a refund, email us at info@thinkonic.com with your project reference, the reason for the request, and any supporting information. We will acknowledge your request within 2 business days and respond with a decision within 7 business days.

Approved refunds will be processed to the original payment method within 14 working days of approval.
